Public Offer

Engagement terms for companies and individual clients seeking design, software development and IT consulting.

Version 1.6 · Effective

01 / Provider and scope

SINISTER CONSULTING & DEVELOPMENT - FZCO, trading as Sinister Consulting, holds trade licence 78885 issued by Dubai Integrated Economic Zones Authority (DIEZA). Registered address: DSO-IFZA, IFZA Properties, Dubai Silicon Oasis, Dubai, United Arab Emirates. Tax registration number (TRN): 105377633000001. Business and legal correspondence: info@sinisterconsulting.com.

We work with companies and individual clients. These standard terms cover IT consulting, software design and development, product work and related services within our licensed activities. They are not a fixed-price checkout offer. They apply to an engagement only when a project-specific written agreement expressly incorporates this version. Mandatory consumer protections apply where required, regardless of whether the client is an individual or an organisation; no clause overrides non-excludable rights, remedies or required disclosures.

02 / How an engagement is agreed

Browsing, clicking a service link, accepting analytics, reading this document or submitting the enquiry form does not create a paid engagement, reserve capacity or accept these service terms. We first discuss the work and agree a project-specific service agreement with a proposal or statement of work (the 'Order'). Any support or service-level schedule supplements that agreement; it does not replace the agreed scope, payment or intellectual-property terms.

The Order must identify the legal parties, scope, deliverables, fees and currency, tax treatment, payment schedule, delivery assumptions, acceptance criteria, support arrangements and applicable version of these terms. An engagement is formed when both parties, acting personally or through authorised representatives, sign or expressly accept the same Order in writing, including a legally valid electronic record. An invoice or payment alone is not acceptance of uncommunicated terms. Required consumer information and any required Arabic version must be provided before agreement; this English page does not replace those requirements.

Keep a copy of the accepted Order and incorporated terms. Mandatory law prevails. A signed master agreement prevails over an Order, and an Order prevails over these standard terms unless the signed documents expressly agree otherwise. A data processing agreement prevails for personal-data matters. Later website edits do not change an existing contract without the agreed change procedure.

03 / Scope, delivery and changes

We perform the agreed services with reasonable skill and care. Only deliverables and services specified in the Order are included. Estimates on marketing pages are not binding deadlines, fixed fees or guarantees of commercial results. Support, hosting, maintenance, third-party subscriptions and ongoing operation are included only where the Order says so.

The client provides timely decisions, accurate requirements, licensed materials and agreed access. Both parties identify an authorised contact. Dependencies, milestones and any fixed dates must be recorded in the Order. Delays caused by missing client inputs, approved changes or external dependencies require a documented update rather than an undisclosed reduction in scope.

Either party can request a change. The effect on deliverables, fees and dates must be agreed in writing before additional work is performed or charged. We do not automatically charge for an unapproved change.

04 / Fees, tax and payment

We primarily agree fees in US dollars (USD), Qatari riyals (QAR) or UAE dirhams (AED). Other currencies may be agreed for a particular project. The Order fixes the billing and payment currency, any conversion basis and responsibility for bank or conversion charges; this page does not guarantee acceptance of every currency.

We use advance payments, with the amount and timing agreed in the Order rather than a universal percentage. The Order sets the price or charging method, invoice details, payment dates and milestone balances. It must state whether fees include or exclude applicable VAT and other taxes. Our TRN is listed in section 01 and provided on tax invoices where legally required. The website does not collect payment-card details.

Expenses and third-party purchases require the approval specified in the Order. Only the payment instructions on an authenticated company invoice or otherwise verified by the company should be used. Confirm changed bank details through an established contact channel.

If payment is overdue, we first notify the client and allow a reasonable opportunity to resolve it. Any suspension, interest or other remedy must be lawful and provided by the agreed documents; this page creates no automatic penalty. Work resumes on the basis agreed after the issue is resolved.

05 / Review, acceptance and defects

The Order defines review periods and measurable acceptance criteria. The client reports any material failure against those criteria with enough detail to reproduce it. We assess the issue and remedy a substantiated failure within a reasonable or expressly agreed timeframe. A new feature request is handled as a change, not as an existing defect.

Deliverables are not deemed accepted merely because a review period has passed unless the Order expressly establishes a lawful acceptance procedure. Acceptance does not waive statutory rights or obligations that cannot be waived. Any post-delivery warranty period, support service level or response commitment must be stated in the Order; marketing language does not create an unlimited support obligation.

06 / Intellectual property and materials

Each party retains its pre-existing intellectual property. Source-code ownership and transfer or licensing conditions are set out in the project-specific service agreement. The Order must identify the bespoke deliverables and specific rights to be transferred or licensed, source-code and documentation handover, permitted uses and the payment conditions for that transfer or licence. Any assignment must meet applicable written-form and specificity requirements; this website alone is not an assignment of unspecified future rights.

Unless the Order agrees otherwise, reusable tools, libraries, methods and pre-existing materials remain with their owner. The client receives the licence specified in the Order for any retained material necessary to use the paid deliverables. Third-party and open-source components remain subject to their own licences, which must be disclosed as relevant to the agreed use. Non-transferable moral rights are not purportedly waived where law prohibits it.

The client is responsible for having permission to provide its content, trademarks, data and software. We obtain written client permission before presenting completed work as a case study. A separate approval must cover any attributed testimonial, identifiable person or third-party material that the client is not authorised to approve. Purchasing services does not itself authorise portfolio publication.

07 / Confidentiality and personal data

Each party protects the other's non-public business, technical and commercial information, uses it only for the engagement and limits disclosure to people who need it and are bound by appropriate duties. Exceptions include information already lawfully known, publicly available without breach, independently developed or lawfully received from someone else. A legally required disclosure is limited to what is required, with notice where lawful.

The website Privacy Policy explains marketing-site enquiries. If the project requires us to process personal information on the client's behalf, the parties must document roles, instructions, security, approved providers, transfer safeguards, incident handling and return or deletion in a separate data processing agreement before that processing starts. Do not put patient data, credentials or other sensitive production information in the enquiry form.

Confidentiality duration, access permissions and return/deletion arrangements should be stated in the Order or a separate non-disclosure agreement. Applicable trade-secret and personal-data duties continue for as long as the law requires.

08 / Ending work and refunds

The Order defines any cancellation notice, termination rights and exit plan. In the event of a material breach, the affected party gives written notice and a reasonable opportunity to remedy it where appropriate, without restricting a statutory right to terminate immediately.

Refunds are available as provided by the agreed service agreement and applicable law. On termination, the parties reconcile completed work, approved committed costs, outstanding invoices and advance payments. Any unused advance is returned after deducting amounts lawfully due under the agreement. There is no blanket 'non-refundable' fee imposed by this page. The basis and timing of any deduction, refund and handover must be stated transparently in the Order. Contractual refund terms do not limit mandatory consumer cancellation rights or remedies for defective or non-conforming services.

The parties cooperate on the agreed handover and secure return or deletion of information. Clauses that are intended or legally required to continue, including payment for completed work, confidentiality and intellectual-property provisions, survive termination as applicable.

09 / Responsibility and events beyond control

Neither party guarantees a specific revenue, investment, search ranking or other business result unless it is expressly and lawfully agreed. Liability is determined by the agreed contract and applicable law. Any negotiated limitation must be stated in the Order or master agreement and cannot exclude liability or remedies that the law prohibits excluding, including any non-excludable responsibility for fraud, intentional misconduct, gross fault or other mandatory protections.

If an event beyond a party's reasonable control prevents performance, that party promptly explains the effect, takes reasonable steps to reduce disruption and discusses an updated plan. Payment for services already properly performed is not automatically excused. Prolonged disruption, termination and settlement are handled under the agreed documents and applicable law.

10 / Law, disputes and notices

Unless an expressly agreed written contract lawfully provides otherwise, an incorporated engagement is governed by the laws applicable in the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The parties first try to resolve a dispute through their authorised contacts. This does not prevent urgent relief or the exercise of a mandatory right.

Unless an expressly agreed written contract lawfully specifies another forum, disputes are submitted to the competent courts in Dubai, subject to mandatory jurisdiction rules. This page does not imply that the provider is established in the DIFC or subject to DIFC courts. Any non-excludable consumer protection or forum right remains unaffected.

Legal notices should be sent to info@sinisterconsulting.com and to the address identified in the accepted Order. Receipt and any required formal service are determined by the agreement and applicable law, not solely by clicking 'Send' on the website. If a clause is unenforceable, the remaining terms continue only to the extent permitted by law.
